P.E.I. Value Chain Advisory Committee Terms of Reference

Role:

To pursue the advancement of Prince Edward Island agriculture and agri-food industry through encouraging the development of strategic alliances across industry sectors related to the production and consumption of agri-food. The Committee will accomplish this by:

  • Providing direction to the ADAPT board regarding food policy
  • Identifying priorities for advancing PEI agriculture and agri-food
  • Identifying specific value chain pilot projects that can be undertaken in PEI
  • Soliciting RFP’s for projects which address identified priority needs
  • Providing communications and awareness of Value Chain, perhaps including an annual VC conference/seminar

Responsibility:

The Value Chains Advisory Committee responsibilities may include, but is not limited to:

  • Review submitted proposals that fit the Value Chain criteria and making recommendations to the ADAPT Board on funding decisions;
  • Provide direction on how relevant industry developments should be reflected in the ADAPT program;
  • Advise on communication releases, including reports surrounding completed projects and VCAC activities, and identify suitable mediums that ensure that newsworthy outcomes are shared with appropriate industry and government stakeholders in the most efficient and effective manner;
  • Ensure that the above are carried out in accordance within ACAAF guidelines, as stipulated by Agriculture and Agri-Food Canada; and
  • The VCAC shall be considered as a working agreement to facilitate cooperation and profitability between all stakeholders of the said value chain.

Membership:

The Value Chain Advisory Committee (VCAC) will consist of 14 voting and non voting members; consisting of two (2) ADAPT Board members, plus two (2) Government ex-officios.
Ten (10) representatives from the agri-food value chain.

Decision Process:

Decisions will be made by majority vote. In all cases an attempt will be made to reach a consensus. In the event of a tie, the Chair may vote.

Quorum:

Fifty per cent plus one of the voting representatives must be present to constitute a quorum. There will be no alternates for the Committee members.

Minutes:

Minutes of each meeting will be kept by an ADAPT staff person and distributed to Committee members at the next meeting. ADAPT staff will be responsible for preparing and distributing the minutes.

Appointment of Chairs:

The Chair and Vice-Chair are to be elected by the official members of the Committee.

Secretariat:

The Committee may rely on ADAPT staff to provide technical support such as:

  • Provide logistics support including developing meeting agendas, recording minutes, arranging meetings room, and follow-up with all staff duties as directed by the VCA C;
  • Draft the Value Chains documents as per the guidelines and direction of the Value Chains Advisory Committee;
  • Circulate proposals for technical review. Compile, summarize and comment on proposals with input from technical experts from industry and government , as required;
  • Present proposals to the committee that fit within the developed criteria of a successful Value Chain;
  • Provide updates and monitoring the progress on VC projects approved by the ADAPT Board;

Frequency of Meetings:

The committee shall have two inagural meeting prior to the ADAPT annual general meeting in March 2005; after which the committee shall meet four times per year. The VCAC or a sub committee may meet more frequently, at the request of the ADAPT Board to draft RFP’s or provide technical reviews of proposals submitted to ADAPT.
